On 19 January 2007, LifeBrandz Ltd. (the "Company") and Kenneth Goh Tzu Seoh, Lee Shieh-Peen Clement and Michael Wong C K (collectively, the "Vendors" and each a "Vendor") entered into a placement agreement with UOB Kay Hian Private Limited (the "Placement Agent") pursuant to which the Placement Agent agreed to, on a best endeavours basis, procure subscribers and/or purchasers for up to 192,000,000 shares in the capital of the Company (the "Placement Shares") comprising up to 122,000,000 new ordinary shares and 70,000,000 ordinary shares held by the Vendors (the "Vendor Shares") (the "Placement").

Pursuant to completion of the Placement on 5 February 2007, C.H.Y Regalia Limited's shareholding percentage change from 21.58% to 17.99% of the enlarged issued share capital of the Company comprising 734,000,000 shares following the Placement.
