1. Mr Thomas Carlton Thompson, 3rd is deemed to have interest in the shares held by his wife, Ms Annie Guat Khuan Chew in her own name, in Centennial Overseas Limited, a BVI company wholly-owned by his wife and in Entelechy Holdings Ltd.

2. For estate planning purposes, the 14,143,300 ordinary shares which was previously held in the name of Annie Guat Khuan Chew had been transferred to Centennial Overseas Limited.

Subsequent to this transfer, Annie Guat Khuan Chew's deemed interest shareholding is as follow :-
(a) Centennial Overseas Limited holds 37,220,800 ordinary shares in the Company
(b) Entelcny Holdings Ltd holds 1,100,000 ordinary shares in the Company
