Emphasis Of Matter By Independent Auditors On Financial Statements For The Financial Year Ended 31 July 2012

In compliance with Rule 704(5) of the Listing Manual, the Board of Directors of Lifebrandz Ltd. (the "Company") would like to announce that the Company's Independent Auditors (the "Auditors"), Ernst & Young LLP, had issued their report on the Company's financial statements for the financial year ended 31 July 2012, containing an emphasis of matter.The opinion of Auditors remains unqualified.

A copy of the Independent Auditors' Report and note 2 and 26 to the financial statements are annexed to this announcement.
